Roles and Responsibilities

Advise clients on the formation, structuring, and operation of retail and private investment funds. Draft and negotiate fund documentation, including offering memoranda, partnership/shareholder agreements, subscription agreements, side letters, management agreements, and related documents. Represent fund sponsors and managers in regulatory and compliance matters. Advise institutional and high-net-worth investors in connection with investments into funds and managed accounts. Provide counsel on secondary transactions, co-investments, and fund restructurings. Collaborate with colleagues across practice groups and local counsels to deliver comprehensive client service.

Key Job Requirements:

2+ years working experience at a top international law firm Qualified in England and Wales or New York Strong knowledge of law. Strong written and spoken Chinese language proficiency as the candidate will support and lead on our matters acting for North Asian clientele Strong drafting, analytical, and problem-solving skills. Ability to work independently and collaboratively under tight deadlines. * Strong academic credentials.
