Job Description

Our client is a leading real estate investment firm listed on the Singapore Exchange (SGX), with a strong focus on delivering long-term, sustainable value to its investors. The company manages a diversified portfolio of quality assets across multiple sectors and geographies. As part of their commitment to corporate governance and regulatory excellence, they are seeking a highly motivated and meticulous REIT Compliance Manager to strengthen their compliance and corporate secretarial functions.







The Compliance Lead will play a critical role in ensuring adherence to all regulatory requirements, managing compliance frameworks, and supporting corporate secretarial functions. Reporting to senior management and working closely with key stakeholders, you will ensure the company maintains the highest standards of governance and compliance.


Key Responsibilities:



Compliance (Primary Focus):



Ensure full compliance with MAS regulations, SGX Listing Rules, Securities and Futures Act (SFA), and REIT-specific compliance requirements. Develop, implement, and periodically review compliance policies, procedures, and internal controls. Conduct internal audits, risk assessments, and regulatory gap analyses to identify areas of improvement. Monitor regulatory changes and advise senior management and the Board on compliance implications. Prepare and present compliance reports to the Board, Audit Committee, and senior management. Investigate and manage any compliance breaches, issues, or incidents. Conduct compliance training sessions for staff and management to foster a strong compliance culture.

Corporate Secretarial Support (Secondary Duties):



Assist in ACRA statutory filings, including director appointments, annual returns, and other required submissions. Maintain statutory registers and manage records for Board meetings (AGMs/EGMs). Support the preparation of Board meeting agendas, resolutions, and minutes. Liaise with external corporate secretarial service providers as needed.

Key Requirements



Bachelor's Degree in Law, Accountancy, Business Administration, or a related field. Minimum 5 years of experience in compliance,

preferably within REITs, Fund Management, or financial institutions

regulated under MAS and SGX.

Strong knowledge of the Securities and Futures Act (SFA), SGX Listing Rules, REIT governance framework, and MAS regulatory requirements.

Prior exposure to or willingness to learn corporate secretarial duties. Experience preparing Board-level reports and working with internal and external stakeholders. Meticulous attention to detail, strong organizational skills, and the ability to work independently. Excellent communication skills, both verbal and written.
