Corporate Secretarial Executive (Family Office)

Our client is a growing Family Office with diversified portfolio investments across Asia and is currently seeking to recruit for a Corporate Secretarial Assistant Assets under management and committed capital is sizeable and growth opportunities abound. Outstanding opportunity to be establish the corporate secretary function for the firm. Reporting directly to the Managing Director, there are opportunities to be groomed to cover compliance work in future, beyond corporate secretarial core duties. Experience covering offshore entities is a must, given the nature of business. Responsibilities

  • Assist in providing corporate secretarial support for both local and offshore entities, with heavy weightage towards offshore entities.
  • Manage a wide spectrum of corporate secretarial works including preparation of Board resolutions, minutes of meetings and documents for joint ventures and liaising with investors and partners
  • Support the firm\'s corporate secretariat workstreams and general secretary matters
  • Preparing standard corporate resolutions, director documentation, board minutes and filing
  • Liaising with the corporate secretarial firm/regional associates on all company secretarial related matters to ensure prescribed laws in force governing companies in Singapore and the countries/jurisdictions the Group operates in are complied with
  • Maintaining company records on directorship and shareholding
  • Safe keeping of legal documents (hard copies): Agreements, Contracts, Records, Share Certificates, Company Registration Certificates, Trademark Certificates, and other related documents
  • Assisting with yearly audits and annual ACRA filings
  • Managing file databases and equivalent sites \xe2\x80\x93 including scanning and uploading documents and updating folders such as the legal register and keeping a contract review tracker
  • Providing regular reviews/updates and maintaining proper records of clients\xe2\x80\x99 KYC/CDD compliance
  • Other ad-hoc duties that may be assigned by the Manager from time to time
Requirements
  • ICSA/LLB or other relevant qualifications. Bar qualification is not required.
  • 3 years of working experience in Corporate Secretarial duties with working knowledge and experience for offshore entities
  • Bilingual in English & Chinese languages, ability to speak Cantonese an advantage given liaison work with counterparts in China and Hong Kong
  • Proficient in Microsoft Office (Word, Excel and PowerPoint)
  • Highly organized and able to multitask with ease with strong competency in planning, scheduling and time management
  • Meticulous and maintains high standard of accuracy in work
  • Positive attitude, customer service oriented and willing to learn
  • Proactive and able to work with little direct supervision
  • Excellent interpersonal skills and strong communicator
