As a Corporate Secretarial Senior Associate, you will play a hands-on role in executing corporate secretarial work while supervising a team of associates. You will ensure timely and accurate delivery of statutory filings, maintenance of company records, and compliance with regulatory requirements under the Singapore Companies Act 1967 and ACRA guidelines. The role requires a strong execution mindset, attention to detail, and the ability to guide and review the work of junior team members.
Key Responsibilities
1. Execution of Corporate Secretarial Work
Prepare corporate documents including board resolutions, meeting minutes, notices, and annual returns for filing via BizFile+.
Handle day-to-day corporate secretarial matters such as company incorporations, share transfers, allotments, changes in officers, and amendments to constitutions.
Maintain and update statutory registers and ensure proper record-keeping of client corporate documents.
Ensure all filings and documents are prepared in compliance with ACRA, Companies Act 1967, and firm quality standards.
2. Supervision & Quality Control
Supervise and review work prepared by Corporate Secretarial Associates to ensure accuracy, completeness, and timely submission.
Provide clear guidance, technical support, and training to associates to strengthen their competency and understanding of secretarial procedures.
Monitor deadlines and ensure all client engagements meet statutory and internal timelines.
Assist in standardizing processes, templates, and quality review procedures within the team.
3. Client Support & Communication
Assist the Manager, act as a point of contact for day-to-day client queries and document requests.
Liaise with clients, auditors, tax agents, and regulators on corporate matters.
Escalate complex or technical issues to the Manager/Director for review and guidance.
4. Compliance & Administrative Support
Ensure compliance monitoring systems are updated and deadlines are tracked accurately.
Support internal compliance checks, filing audits, and documentation reviews.
Assist the Manager in providing input on workflow summaries for monitoring.
5. Team & Process Improvement
Contribute to improving team efficiency through process enhancements and technology use (e.g., digital registers, e-filing tools).
Participate in internal knowledge-sharing and workflow improvement discussions.
Requirements :
Diploma or Degree in Business Administration, Accounting, Law, or related discipline.
Minimum 3-4 years of relevant corporate secretarial experience, preferably in a professional firm.
Pursuing or qualified ACIS / ICSA / SAICSA membership is an advantage.
Strong working knowledge of the Singapore Companies Act 1967 and BizFile+ system.
