About Our ClientOur client is a prominent China food and beverage chain business with a global footprint, currently operating a network of over 2,000 shops worldwide. As part of their strategic road map, they are actively preparing for an Initial Public Offering (IPO) within the next two years, reflecting their ambitions for expansion and growth.Having established their presence in South East Asia since 2019, our client is now poised to embark on an aggressive expansion journey within the region. Their goal is to seize new opportunities, enhance their market share, and further solidify their position as a sustainable and key player in the dynamic and ever-growing Southeast Asian market.

  • Corporate Governance Compliance: Ensure compliance with all statutory and regulatory requirements, including but not limited to the Companies Act and other relevant legislation.
  • Board Support and Coordination: Coordinate and schedule board meetings, prepare meeting agendas, and provide administrative support to the board of directors. Assist in the preparation of board papers, resolutions, and minutes.
  • Statutory Filings and Documentation: Prepare and file statutory returns and documents with the Accounting and Corporate Regulatory Authority (ACRA) and other relevant authorities. Maintain accurate and up-to-date corporate records, including registers, minute books, and corporate governance documents.
  • Shareholder Relations: Facilitate communication with shareholders, respond to queries, and manage shareholder meetings and communications.
  • Corporate Secretarial Advisory: Provide expert advice and guidance on corporate governance matters to the board, senior management, and other stakeholders.
  • Legal Compliance Monitoring: Monitor changes in relevant laws, regulations, and best practices affecting corporate governance, and ensure that the company remains compliant.
  • Risk Management: Identify and mitigate corporate governance risks and implement controls and procedures to enhance governance effectiveness.
  • Corporate Transactions Support: Assist in corporate transactions such as mergers, acquisitions, and restructurings, including g due diligence, documentation, and regulatory compliance.
The Successful Applicant
  • Bachelor\'s degree in Law, Business Administration, Corporate Governance, or a related field. Professional qualifications such as the Chartered Secretary (CS) or Chartered Governance Professional (CGP) designation preferred.
  • Previous experience in retail or F&B chain operations is advantageous.
  • Sound knowledge of Singapore company law, corporate governance principles, and regulatory requirements.
  • Proficiency in Mandarin for engaging with stakeholders in China who does not speak or understand English.
