Duties and Responsibilities:

Legal

Provide legal advice and guidance to senior management and other stakeholders on a wide range of issues, including regulatory compliance, fund formation, corporate governance, and contractual matters. Draft, review, and negotiate a wide range of legal documents, including investment agreements, shareholder agreements, and other corporate documents. Oversee legal due diligence on potential investments and provide risk assessments. Advise senior management on legal risks and implications of business decisions. Draft and review board resolutions (e.g., bank account opening, investment approvals). Manage legal disputes and litigation processes. Advise on relevant legislation, including the Securities and Futures Act (SFA), and other applicable laws. Manage relationships with external counsel, including fee negotiations and oversight of legal costs.

Compliance

Update and maintain a comprehensive compliance framework and policies to ensure adherence to MAS regulations and other applicable laws, and industry best practices. Monitor business operations for compliance with regulatory requirements. Conduct training and provide guidance to employees on compliance topics to foster a strong compliance culture. Liaise with regulators, auditors, and other stakeholders on compliance and regulatory matters. Perform other legal and compliance-related duties as required.

Requirements:

Bachelor of Laws (LLB) from a recognized institution. Minimum 6 years of relevant legal and compliance experience, preferably within Private Equity, Asset Management, or other financial institutions. Strong knowledge of MAS regulations, as well as other applicable laws and regulations governing the financial services industry. Strong drafting, analytical and communication skills. * Ability to work independently and as part of a team, demonstrating a proactive approach to problem-solving and decision-making.
