Job Description

The Role:

We are seeking a proactive and commercially-minded Legal Counsel to join our in-house team, with a focus on corporate matters and M&A. This role is crucial in supporting the company's strategic growth, including mergers, acquisitions, and other investment activities.

Key Responsibilities:

Provide legal advice and support on all phases of M&A transactions, including due diligence, deal structuring, and negotiation of transaction documents. Manage corporate secretarial matters and ensure compliance with the Companies Act and other relevant corporate governance regulations. Draft, review, and negotiate a variety of commercial agreements, including joint ventures, partnerships, and vendor contracts. Advise senior management on legal risks and strategies related to business development and corporate initiatives. Liaise with and manage external counsel on complex corporate and cross-border matters.

Required Skills and Qualifications:

Bachelor of Laws (LLB) or equivalent law degree. Admitted to the Singapore Bar with 10 years of post-qualification experience (PQE) in corporate law, with a strong emphasis on M&A. Solid experience from a reputable law firm or as an in-house counsel in a corporate environment. Excellent drafting, negotiation, and advisory skills. A strong business acumen and the ability to work collaboratively with multi-disciplinary teams.
