Job Description

As Legal Counsel, you will be a key partner to the organisation\'s business units, advance and protect the organisation\'s interests through your innovative problem-solving skills and legal expertise. Reporting to the Assistant General Counsel, you will work closely with internal stakeholders to develop and execute strategies to legal and commercial issues. You will implement policies, procedures, and best practices in compliance with internal practices.

Description

• Providing legal support for M&A activities of the organisation, including reviewing, drafting, and negotiating M&A documentation such as sale and purchase agreements, investment agreements, joint venture agreements, and shareholder agreements
• Providing legal support for Treasury matters, including bilateral/syndicated loans, bonds/notes/MTN documentation, and other financing-related matters
• Offering legal support for Regional Associates and other investments of the organisation
• Collaborating with internal stakeholders to ensure adherence to internal policy and corporate governance.
• Providing legal support for special projects to ensure the organisation\'s interests are protected and advanced in various transactions

Profile

• Law Degree from a recognised university and admitted to the Singapore bar with 4PQE with law firm or in-house
• Familiarity with SGX Listing Manual
• Strong communication and interpersonal skillsets to work closely with various stakeholders within the organisation
• Creativity and solution-orientation to provide proactive legal guidance and practical solutions while mitigating risks
• Strong business acumen to understand and meet the needs of internal clients
