:Our client is a global leading manufacturer of eyewear products. We are currently partnering them to recruit for a Legal Counsel. As a member of the APACK, Japan, India Legal team, you provide corporate and commercial legal advice and support to business team for the legal entities of Singapore and APAC/supported from Singapore (Vietnam, Malaysia and others), mainly focused on corporate law (Minutes of Board and AGM meetings) and commercial agreements in Singapore (including leases, franchises, distribution, as well as other wholesale and retail business agreements) in a high growth environment.Role: Individual contributor role as a start and working closely with a team of legal professionals.Scope of Business/ Function - Key Areas of Expertise1) Providing legal advice and support on a wide range of commercial / corporate matters, including but not limited to:

• Commercial contracts drafting, review and negotiation,

• General corporate legal assistance (Minutes of Board resolutions, Resolutions in writing, PoAs etc.),

• Assistance in S&P contracts in general

2) Assist in providing legal support to day to day projects.3) Assist in the rolling out / applying the Group\xe2\x80\x99s legal and compliance strategies, policies and procedures.4) Ensure proper corporate administration and proper governance in local legal entities: follow up of minutes of boards and shareholders\xe2\x80\x99 meetings, become company secretary for entities in his/her scope of competence.5) More generally:

• Ensure the deployment of the Group and APAC legal best practices and governance/corporate procedures.

• Liaise with external legal advisers and Company Secretaries based in Singapore, Malaysia, Vietnam and other APAC countries.

Interact with APACK, Japan and India Legal team and other functions including corporate (corporate and regional legal team, Finance, tax, IT, Compliance, IP, Insurance department, EHS etc.)Key requirements

• Singapore law qualified lawyer with minimum Bachelor of Law degree (LLB).

• Min 6years post-qualification experience in Singapore (experience in both private practice and in-house if possible)

• Business Acumen

• Experience in a law firm (corporate, commercial, litigation)

• Advertising/regulatory experience an advantage

• Inhouse (commercial and corp) experience

• Solid practice experience in corporate law, contract, commercial, and litigation.

• Basic knowledge in compliance.

• Previous experience in healthcare industry (pharmaceutical, medical devices) or cosmetic industry or retail would be a plus

• Industry experience \xe2\x80\x93 not as important as type of work done and learning agility.

• International exposure and capacity to manage legal concerns cross-culturally and internationally

• Singapore qualified and experience, if possible also experience in APAC region

• Candidate who can communicate in multilingual is an advantage. English and Bahasa Indonesia/Malaysia are needed for business communication purposes across different countries in the region.
