Provide day-to-day management on all aspects of the legal function for the Company, including:
Regulatory/legal issues relating to insurance and reinsurance brokering (contract review, policy wordings);
General corporate and commercial advisory work;
Corporate litigation, dispute management and resolution; and
Review and approve agreements, legal reports, etc.
Draft, negotiate and review legal agreements and advise the Company on local civil, trade, labor and tax matters and on any changes/developments in the law when appropriate;
Develop a system to efficiently disseminate the information, set up and maintain legal library (softcopy & hardcopy) of legal regulations and legal advice;
Manage and monitor the implementation and compliance with Personal Data Protection Act (PDPA);
Represents and advises the Company in substantial legal and business transactions which require legal expertise and generally involve a high degree of original and creative legal endeavor, evaluation of complex or novel issues, or vigorous adverse parties. Such transaction may include key vendor, distribution and M&A agreements, amongst others.
Performs comprehensive research and analysis in collaboration with external and internal staff counsel in assigned areas of specialization; directs, focuses and refines comprehensive research of others on matters including insurance regulation, corporate governance, litigation, employment matters, IT, real estate and compliance matters.
Maintains current knowledge of legal issues and developments in the law; evaluates legal trends for impact on the Company.
Manage corporate governance and provide corporate secretarial functions for the Company;
Review and approve all material agreements entered and performed by the Company;
Maintain the Company\xe2\x80\x99s license (e.g. business scope extension) and relationship with regulators in conjunction with local and regional management;
Retain and supervise external non-claims counsel and develop an approved panel list as needed;
Advise the Company on any changes in the law and developments and develop a system to efficiently disseminate the information;
Report all issues to Regional & Home Office Legal per the Legal & Compliance Reporting Protocols;
Provide legal support on insurance claims review when needed;
Provide advice on real estate leases and purchase and sale agreements affecting the Company;
In conjunction with Regional & Home Office Legal, oversee and monitor all intellectual property rights;
Perform periodic governance & international protocol audits
Job Requirements:
Singapore Qualified lawyer with at least 3 years legal experience at a law firm or as in-house counsel. Paralegal with insurance-related experience may also apply
Strong interpersonal skills and the ability to interface with all levels within the Company Excellent analytical & legal writing skills
Ability to identify and analyze organizational needs with solid problem-solving abilities
Ability to maintain effective relationships with internal and external constituencies and customers
Familiarity with corporate operations and SBU objectives
