:

The key roles and responsibilities are as follows:

PURPOSE:

This Legal position shall be required to carry out an administrative role and provide general support for the following areas: * Corporate Secretarial,

  • Governance & Compliance processes.
  • Regional Compliance Policies and Programmes (Eg: Anti-Bribery/ Anti-Corruption) ;
  • Intellectual Property Rights (IPR) matters;
  • Litigation matters; and
  • Regional Support to Global HQ initiatives.
RESPONSBILITIES & TASKS: * To manage all Corporate Secretarial matters independently, assist with any matters related to the Board of Directors and the convening of Board Meetings and also to oversee the Corporate Secretarial scope of work from an Asia Pacific Regional HQ perspective.
  • To work independently with all corporate subsidiaries and maintain oversight of overall corporate structure and the shareholding framework of all related entities (including overseas and affiliated entities). This includes the drafting and preparation of necessary documents as well as handling all required external parties such as corporate secretarial agents, external lawyers, commissioner of oaths, notary public, local and foreign government regulatory bodies including but not limited to company registration statutory boards and municipal authorities.
  • To communicate with and assist various members of the Board of Directors (not just FBAP but also the related overseas subsidiaries), to communicate and work with their support staff and collaborate on various secretarial and administrative matters.
  • To work with and manage all internal parties (including subsidiary company legal teams and relevant stakeholders - finance, operations - in order to address licensing issues where necessary).
  • To manage, advise and where necessary making decisions and determination of broader corporate secretarial matters beyond the regional entity (FBAP - for example: handling certification matters for bank accounts in foreign jurisdictions, overseeing corporate secretarial matters for foreign OPCOs and those involving Japan HQ and also handling, instructing and managing external foreign lawyers to carry out necessary legal work in their overseas jurisdictions. Eg : application for new business licences and permits etc.)
  • To undertake a broad range of legal administrative work including any requests from Corporate Headquarters - this can include: administering broad policy changes, establishing corporate policies for distribution to the region (Eg: includes but limited to brand licensing matters, the liquidation and dissolution of entities)
  • To provide support and assist with any governance and compliance request from Corporate HQ and to work with internal stakeholders from various overseas subsidiaries to collate information and administer data collection and provide reports as and when required to do so.
  • To provide litigation support including but not limited to working with internal stakeholders to gather evidence, communicating with and instructing external law firms as required, to follow up with any internal discovery or investigative processes for more complicated cases.
  • To work with corporate HQ Intellectual Property (IP) Office on matters such as trademark licensing / infringement matters and work with external IP lawyers to manage any IP enforcement or litigation matters.
  • To supervise and oversee internal compliance and governance systems (this can be corporate secretarial related as to the preparation of board resolutions in accordance with the requirements of the articles of incorporation of the relevant company or internal customised governance processes such as the Fujifilm \xe2\x80\x9cCommunication Matrix\xe2\x80\x9d system and the FBAP IDMP [Internal Decision Making Protocol]) system).
  • To supervise and oversee the sharing and distribution of relevant regional policies and programmes with regional legal counterparts;
  • To support and assist the General Counsel / GM Legal in managing any relevant Audit related activities (including but not limited to internal audit actions, Audit Committee roles and responsibilities, investigative roles and functions as maybe carried out by Legal from time to time.)
  • To carry out a broad range of administrative functions including:
i) To assist with making arrangements for meetings and co-ordinating activities as and when required
ii) To undertake tasks to plan and manage briefings, workshops and training sessions as and when necessary.
iii) to carry this out by working co-operatively and cohesively with the legal team and all other stakeholders on any project as so assigned to from time to time.

To succeed in this role, you will need to possess the following qualifications, skills and experiences:
  • Diploma in Law from local Polytechnic or other relevant university degree holder preferred
  • Minimum 3 years\' experience in corporate secretarial work
Essentials
  • Strong language capability in English and experience with Legal terminology is essential (Mandarin speaking ability is an added bonus).
  • Contract review/document drafting skills or related experience in handling legal contracts and documents is preferred
  • Good communication skills are essential ( and good presentation skills will be valued. )
  • Experience working in legal departments of multi-national corporations (MNCs) dealing with regional counterparts is preferred.
  • Experience in dealing with external law firms, commissioner of oaths, notaries and corporate secretarial agents, auditors and regulatory bodies will be valued.
  • Good sense of planning, time management and ability to assess and prioritise workload is essential.
  • A professional demeanour, a \xe2\x80\x9cteam player\xe2\x80\x9d mentality and personal conduct respectful of colleagues and counterparts is essential.
Desired
  • Specific legal experience in corporate secretarial matters, compliance and governance related legal work.
  • Strong interest in learning and possessing the attitude and aptitude to innovate and adapt.
  • Ability to work calmly under time pressure on multiple matters, dealing with a number of internal customers concurrently
