KEY ACCOUNTABILITES

  • Key role as the corporate secretarial expert in the Legal team with requisite deep knowledge of the Singapore Companies Act and ACRA related processes
  • Ability to draft and review standard corporate secretarial documents and board resolutions
  • Prior experience in a corporate secretarial role, either with a service provider or a similar role in a multi-national company (or equivalent), is required
  • Manage approvals with the Eastspring Executive Management Committee and the Prudential Group of key person appointments across the Eastspring group of companies, JVs, and fund vehicles
  • Coordinate the processing of documentation and approvals for key changes and appointments to all Eastspring group local boards and committees
  • Liaising with and monitoring of all Eastspring group companies and JVs in their timely updates of directorship changes to avoid reporting breaches
  • Grow in familiarity with board meeting requirements for all Eastspring group companies, fund vehicles, and JVs
  • Coordination of annual board meeting planners and schedules of individual directors (including external independent directors)
  • Liaising with Eastspring's external corporate secretarial service provider on filings to be made with ACRA and for standard resolutions that are covered by our annual retainer
  • Acting as a sub-administrator of Eastspring Singapore's CorpPass Account
  • Maintenance of Eastspring Singapore's authorised signatories list including obtaining specimen signatures of new signatories from time to time
  • Coordination of board meeting logistics, including collation of board papers and presentation materials, and preparation of detailed minutes
  • Oversight of the Eastspring functional committees/forums structure and governance, including monitoring of ToR updates and changes to composition
  • Key liaison for Prudential Group Secretariat initiatives and contributing insights to enhance corporate governance practices
  • Tracking and monitoring reports submitted to the Prudential Group in a timely manner, including risk reports, litigation reports, material contracts etc.
  • Build and maintain a corporate secretarial documentation and process library for general reference by the Singapore Legal team
  • Compiling and maintaining a legal database, such as agreement registers, reports, maintenance of key templates and standard agreements, and the updating of legal precedents as required
  • Perform critical administrative support for the Legal team, including working on matters and documentation relating to corporate secretarial and board meetings, filing and storage of documentation, coordination of team meetings and related resource support
  • Assist in all other general administrative duties pertaining to the Legal function

THE CANDIDATE
  • Legal paralegal with degree or diploma in legal or other finance fields.
  • Experience in corporate secretarial matters is required.
  • Prior work experience in a multi-tasking environment is preferred.
  • Able to work and interact with people of different levels.
  • Good application of time management principles.
  • Proficiency in Microsoft Office - Word, Excel, PowerPoint is critical.
  • Possesses an open mindset and receptive to learning about technology and operational processes as might be applicable to the Legal team.
  • Independent and self-motivated, with a sense of enthusiasm, collaboration and willingness to contribute to a positive and open team environment.
