About the Role

The Regional Counsel is a member of the SEA Leadership Team providing senior legal leadership advice and counsel on matters on a pan regional basis.

This role will report directly to the Managing Director, South East Asia (SEA) and functional reporting to GC Asia Pacific. The Regional Counsel will function as a highly effective legal and business advisor to the SEA LT and SEA MD.

As the lead lawyer in SEA, ensure the MD SEA and the General Counsel Asia Pacific are kept up to date on all significant legal issues across the patch, leading the provision of legal advice and support on all significant legal and compliance issues that have a pan SEA impact.

Purpose of the Role

Co-ordination of all significant legal and compliance issues across SEA by liaising closely with the regional lawyers in the SEA markets.

Ensure that all lawyers in SEA markets stay connected (through regular calls/meetings).

Enable the SEA business to deliver its performance objectives creatively, legally and ethically.

Provision of pro-active legal support and management of legal risk for the SEA team.

Preserve value (financial and reputational) by minimizing the risk of litigation and maintaining compliance with laws and the Diageo Codes.

Advice and counsel to MD of SEA by being the primary contact for legal advice for these territories and liaising with legal specialists as required.

Ensuring that legal risks and commercial strategies are aligned.

Management of key risks across SEA, based on changing laws and complex legal system.

Role Accountabilities

This role has primary accountability for providing legal support to the SEA business (including countries such as: Strategic Partnerships, Indonesia, Thailand, Philippines and Vietnam).

This role manages legal and legal compliance issues across SEA (for example, FAC, significant compliance issues, significant litigation, and more complex legal advice as required).

There is a functional reporting relationship with the Legal Directors of Indonesia, Thailand, the Philippines and Vietnam who each hard-line report to their respective GMs. The SEA Legal Counsel (who is responsible for Strategic Partnerships and the Diageo Singapore legal entity) as well as the SEA Brand Protection Manager both report to this role.

The role is responsible for the Brand Protection agenda throughout SEA through the SEA Brand Protection Manager

The Regional Counsel will be the SEA legal representative at SEA Compliance Committee meetings.

The Regional Counsel also has accountability for coordinating and managing legal matters relating to the Moet Hennessy joint venture in Southeast Asia, and will be an invitee at regional meetings with Moet Hennessy (SEALC).

Role Requirements

1. Essential Qualifications & Experience:

Senior lawyer admitted to practice in leading jurisdiction, with extensive commercial in-house experience gained (minimum of 10+ years PQE in a commercial legal role) and extensive experience of leading legal aspects of transactions in multiple jurisdictions, with a strong commercial law background \xe2\x80\x93 ability to navigate a changing and, in some cases, ambiguous legal structure.

Experience of effectively leading, managing and motivating colleagues, peers and subordinates in multiple jurisdictions.

2. Key Functional Capabilities:

Cross-border Commercial Legal Experience

Proven track record of managing complex legal issues and dealing effectively with external law firms in multiple jurisdictions; extensive experience of complex negotiations, cross-border transactions and commercial structures.

Excellence in provision of legal leadership and advice across multiple countries, ensuring that complex legal issues and risks are appropriately communicated and mitigated; proven ability to work in the commercial environment, to identify business critical issues and prioritize workload to align with business needs.

Professional and Interpersonal Skills

Excellent analytical, drafting and negotiating skills, strong commercial and pragmatic approach - applies extensive knowledge of the law and understanding of the business, with proven ability to generate respect from both the business and colleagues for judgement, approach & commitment.

Excellent interpersonal/communication skills; experience of effective engagement at senior level, proven ability to work confidently and stand ground with senior managers at all levels.

Ability to operate effectively in a matrixed organization and to manage projects through and with geographically dispersed regional counsel.

Management Capabilities
