Job Description


iCapital is hiring a Vice President, APAC Legal Counsel & Compliance Officer to join its Legal & Compliance Teams and work with the broader iCapital team in Singapore and Hong Kong. The role will be focused on (1) representing private funds established predominantly in Cayman or Luxembourg for APAC-based sponsors on a wide spectrum of matters including regulatory issues, capital raising, distribution, marketing, and fund formation and structuring, (2) general corporate matters and (3) corporate governance activities both at the firm level and for iCapital\xe2\x80\x99s investment vehicles. The ideal candidate will have the ability to work across all functions, balance multiple projects effectively, and help manage external contractual relationships and outside counsel. The candidate will work closely with iCapital personnel on the client relationship, operational and legal teams.

Responsibilities

  • Negotiate various agreements with counterparties including many of the world\xe2\x80\x99s largest and most sophisticated fund managers and leading distribution agents;
  • Draft and review private fund offering materials, partnership agreements and related private fund legal documentation;
  • Advise on the legal implications of offering new and existing products and services across jurisdictions;
  • Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work;
  • Drive legal projects with on-time and on-budget results;
  • Draft and review complex, technology-driven client engagement agreements;
  • Draft and review a variety of general corporate agreements;
  • Assist with legal aspects of strategic corporate development initiatives;
  • Define compliance strategy and guidelines to support the firm\xe2\x80\x99s growth across the APAC region in a sustainable and compliant way;
  • Monitor new regulatory development / updates and advise senior management and colleagues;
  • Work closely with senior management, colleagues, regulators and external partners and stakeholders to anticipate and mitigate risks to the firm and clients;
  • Develop and implement appropriate controls to ensure iCapital meets its regulatory obligations in Singapore; and
  • Perform ad hoc projects.
Qualifications
  • 4-6 years of relevant experience within a top-tier law firm and/or in-house at an asset management or financial services firm
  • Strong knowledge of Cayman corporate structures and regulatory matters a must
  • Regulatory experience with a financial entity regulated by the MAS a plus
  • Knowledge of Luxembourg corporate structures and regulatory matters is a plus
  • Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations is a plus
  • Strong interpersonal and leadership skills
  • Adaptable and entrepreneurial, willingness to learn new topics and work in an evolving, high-growth and fast-paced business environment
  • High level of integrity
  • A proactive attitude and ability to work cross-functionally
  • Organized and detail-oriented with big picture capability
  • Qualified to practice in Singapore or other reputable jurisdiction
