  • Act as Company Secretary / Governance leader for the Singapore operational entities and their local boards.
  • Act as the regional Governance Lead for the maintenance of all corporate details in our entity management system and support the governance implementation in the Asia Pacific region.
  • Provide advice at executive and Board level in relation to corporate governance issues and implications of proposed policies and actions involving both the SPVs and the OPCOs.
  • Producing Board papers as required and minuting Board meetings for the SPVs and main OPCOs
  • Responsible for the corporate calendar, annual governance reporting and accounts filings for all of the 15 Singapore entities.
  • Advise and support group reorganisations, including the formation of new subsidiaries, transfer of entities and directors\xe2\x80\x99 due diligence around corporate restructuring proposals.
  • Serve as a key member of the global entity governance team within the Law and Compliance department of Aon to implement and maintenance effective governance practices across the enterprise.
  • Developing and evolving governance documentation for all Aon\xe2\x80\x99s entities and committees \xe2\x80\x93 in Singapore, Asia Pacific and globally, in close collaboration with regional subject matter experts.
How this opportunity is differentThis role provides a comprehensive Company Secretarial / Governance service for the 7 special purpose finance/holding entities in Singapore (\xe2\x80\x98SPVs\xe2\x80\x99) and to the 8 operational Singapore entities, including the Innovation Center entities (\xe2\x80\x98OPCOs\xe2\x80\x99).This role will work closely with the senior executives that act as directors of the SPVs as well as the global corporate and finance teams involved in the transactions relating the SPVs, to provide proactive, effective Governance advisory and Company Secretarial (\xe2\x80\x98CoSec\xe2\x80\x99) support for these SPVs.This role will also provide CoSec support for the OPCOs, working closely with the Singapore based legal & compliance team, as well as the finance and business teams.Finally, this role will be part of the high performing global team providing strategic advice and supporting entity governance across Aon\xe2\x80\x99s corporate structure.Skills and experience that will lead to success
  • Significant industry experience in the field of expertise at a Company Secretary or Deputy Company Secretary level in the financial services sector
  • Excellent stakeholder management, relationship building and influencing skills at senior management level
  • Exceptional technical knowledge of Companies Act requirements and governance requirements
  • Accuracy and attention to detail
  • Excellent oral/written communication, planning, project management,
  • Good organisational and line management skills
  • Discretion when handling confidential information
  • Dynamic and proactive bringing energy and enthusiasm to subject matters.
  • Excellent people engagement skills and experience of influencing a multi-disciplinary team of professionals.
