Job Description


:Carry out the full spectrum of corporate secretarial function, including listing compliance requirementsEnsure compliance to corporate governance rules of entities listed on NYSE and OSE * Handle the legal administration of employee incentive schemes Preparation for, conduct of, and recording of board and shareholder meetings

  • Drafting of corporate legal documents and contracts
  • Provide corporate regulatory advice to business units, management and board as needed
  • Manage the portfolio of BW entities and ensure compliance with applicable laws and regulations, including conformance under shareholders and joint venture agreements
  • Liaise effectively with external board and shareholders on board and shareholder matters, and execution of mandates
  • Supervise and motivate staff in their performance of daily function to ensure the smooth running of the department
  • Observe adherence to established policies and procedures to ensure a strong corporate structure
  • Introduce and implement best practices in governance and all other aspects of corporate secretarial function
  • Participate and support the legal requirements of new initiatives and ad-hoc projects as needed, and liaise with external parties to ensure proper administration of corporate documents and timely closing of transactions
  • Actively participate in the development of the quality management system and engage in the process for the continuous improvement of departmental procedures
Qualifications:
  • Must be qualified as a Chartered Secretary
  • Minimum 15 years of corporate secretarial and/or legal experience
  • Minimum 10 years in supervisory role with sound knowledge of company law, and practical knowledge of corporate governance and regulatory framework governing any stock exchange
  • Good organisational and time management skills
  • Strong interpersonal skills and stakeholder management Excellent English language skills written and verbal Proactive, creative, accountable and results-oriented
  • Excellent team player with collaborative can-do spirit, adaptable in a fast-paced environment
