About the role

We are looking for a Corporate Counsel, Commercial to provide the highest standard of legal services in respect of our commercial activities across all levels of the business. This role is part of the Legal team and has responsibility for providing support to our global commodities sales team, integrated trading teams (including in respect of commodities and carbon trading) and supporting initiatives of our Commercial function aligned with our objective of finding better ways to provide the materials the world needs.

This role reports to the Senior Counsel Commercial for Sales and Marketing and is a great opportunity to work closely with our commercial team driving value addition to the business. Working within the Commercial Legal team, you will:

Global Commodity Sales and Integrated Trading
Act as legal counsel to our global commodity sales teams and Commercial function generally:
  • Negotiate, amend, and advise on commodity sales contracts and transactions in respect of multiple product groups.
  • Advise on a large range of operational issues as they arise, such as force majeure, contractual disputes, marine issues, trade finance aspects and the impact of sanctions or geopolitical changes.
  • Advise on digitalisation and decarbonisation initiatives in the commodities space.
  • Advise on and manage arbitration, litigation, and settlement of commercial disputes, together with internal and external litigation counsel.
  • Support aspects of the marine business working closely with the Senior Corporate Counsel in charge of marine matters.
  • Review, update and \xe2\x80\x9cown\xe2\x80\x9d general terms and conditions as well as internal policies and procedures related to our commercial activities to ensure best practice, regulatory compliance and that we meet our commitments to other parts of our business and third parties.
  • Provide legal support to a range of other commercial matters as needs arise.
  • Build rapport, have a deep understanding of our business and customers and become a trusted and valued adviser to all parts of our Commercial business and, when required, other parts of the business.
General
  • Providing timely, accurate, independent, and commercially pragmatic legal advice to the business whilst managing legal and commercial risks.
  • Analysing legal risks including confidentiality, legal compliance, business integrity and reputational aspects.
  • Maintaining awareness of all material internal business developments which are likely to lead to a need for legal advice.
  • Driving a culture of commercial entrepreneurialism whilst balancing risk for the business.
  • Managing legal engagement with vendors and suppliers, including resolution of disputes.
  • Reviewing and developing precedent documents.
  • Liaising with other members of the Legal team and members of the business\'s commercial operations to promote and apply best legal practice.
  • Monitoring the compliance framework that will enable the business to meet its statutory and corporate requirements.
About you

To be successfully considered for this role, you will have:
  • At least 10+ years of post-qualification experience within a global corporation and/or major international law firm.
  • Strong corporate law experience.
  • Perfect plain English drafting skills honed in a major law firm.
  • Strong leadership, communication, and time management skills.
  • A friendly and approachable manner with demonstrated ability to develop strong commercial relationships with internal and external stakeholders.
  • Demonstrated leadership skills, as well as the capacity for strategic decision making and managing portfolios independently.
  • Demonstrated ability to succeed in a faced paced environment with multiple stakeholders.
  • Qualification under one or more of the laws of Singapore, England & Wales, or Australia.
It will also be beneficial if you have:
  • Significant experience with commodity sales and trading in a major mining, oil and gas, or commodity trading company or commodities practice of a law firm.
  • Experience in shipping, including charterparty disputes, cargo claims and marine insurance claims.
