The opportunity

We’re looking for an experienced mergers & acquisition (M&A) lawyer to join our legal team based in Singapore. You will support our Global and ASEAN legal teams and will be responsible for providing legal and contractual support to business teams on a broad range of M&A, corporate and commercial matters, including reorganizations and establishment of new businesses. This role is truly cross-border and the work can be complex and diverse. It requires logical, practical thinking and solid experience in contract drafting, negotiation and workload management. You will be actively collaborating and positively teaming with fellow members of the Global and ASEAN legal teams; highly collaborative teams of lawyers who support and advise across EY, as well as with other legal teams and internal functions.
Your key responsibilities


  • Advising on and co-ordinating legal support on M&A transactions in Asia-Pacific, including providing specialist support to local member firm legal teams and the corporate development office on M&A transactions, instructing and managing external counsel, driving due diligence, structuring, drafting and negotiating transaction documents and related agreements as required.
  • Working closely with business teams and internal finance, tax, talent, risk management, legal and other teams to provide legal advice on a variety of other transactions in Asia-Pacific and ASEAN including:
  • Corporate reorganisations
  • Establishment of new businesses
  • Financings
  • Alliance arrangements
  • Advising on corporate governance issues including new legal developments.
  • Provide legal and contractual support to business teams across ASEAN on a broad range of legal matters including drafting, reviewing and negotiating a diverse range of commercial documents and engagement agreements, and advise business leaders on significant legal issues.
  • Participate in special projects (including corporate actions, business transformation etc), and perform other job-related duties which may be assigned as required.
  • Contributing to internal guidance, best practice and templates.

Skills and attributes for success

  • Outstanding communication, presentation and interpersonal skills. Business minded and able to provide practical legal advice and support and communicate complex legal issues and risks in terms that non-legal stakeholders at all levels of seniority can understand.
  • Excellent writing, drafting and negotiation skills, and a strong track record in managing a broad range of legal issues.
  • Good organizational, prioritization and time-management skills. Be able to manage multiple priorities, work efficiently under pressure and consistently meet tight deadlines.
  • Proactive attitude and positive mindset, high degree of emotional intelligence, and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics.
  • Interest and ability to positively team and collaborate effectively across geographic locations.
  • Ability to work independently as well as under the supervision of partners and directors in the teams.

To qualify for the role you must have:

  • Bachelor’s degree in law or J.D. degree, and is Singapore law qualified.
  • At least 7 to 10 years of M&A corporate legal experience gained from a combination of private practice from a top Singaporean law firm or international firm and in-house roles (experience in a multi-national organization is desirable).
  • Substantial experience in conducting M&A and corporate transactions on a cross border basis, including strong project management and negotiation skills.

I Ideally, you would also have:

  • Familiarity with technology issues in M&A transactions.
  • IP knowledge and experience.
