The Commercial Counsel provides corporate commercial legal advice and support for various activities among the various Zebra business units and functions in the APAC region, including those operating in South East Asia (Singapore, Malaysia, Philippines, Indonesia, Vietnam and Thailand). He/She may be required to work on global projects as well as projects in the region or assist other counsels on matters in other sub-regions in APAC including Japan, Korea, India/Sri Lanka or other countries in APAC.

The Commercial Counsel will be responsible for having a good understanding of business goals, structuring deals to meet those goals while adhering to Zebra\xe2\x80\x99s company policies; conceiving and drafting contracts reflecting agreed-to deal structures; negotiating those contracts to execution against other attorneys and management representing counterparties; and counseling Zebra stakeholders on the enforcement of contract claims for and against Zebra.

The Commercial Counsel will also undertake support for regional projects or business-unit specific matters including labor relations and employment, privacy and subsidiary management.
Responsibilities:

  • Drafting and negotiating commercial and transactional contracts with channel partners and customers (including for complex deals) including interfacing with the counterparties\xe2\x80\x99 legal department or external lawyers;
  • Drafting and creating common forms and precedents including contracts for which there are no existing templates;
  • Structuring business deals working alongside business representatives to optimize benefit and minimize risk;
  • Ability to learn and understand the company\xe2\x80\x99s channel business and go-to-market models;
  • Enforcing existing contracting and business policies and contributing to defining and maintaining global contracting policies, procedures and templates;
  • Consulting with other support units in Legal (IP, Privacy, etc.) as necessary on out-of-policy positions;
  • Escalating issues to APAC General Counsel as required;
  • Providing legal advice regarding contractual claims against customers, vendors, suppliers and with respect to any claims made against the company;
  • Advising on legal implications of customer requirements and commercial issues and providing sound legal advice and practical solutions to the business;
  • Providing legal support to the business when responding to bids and tenders;
  • Advising the business on channel rebate and incentive programs or promotions including reviewing the legal and commercial terms and conditions;
  • Providing ad hoc support and advice on a range of matters arising in the course of the business including employment issues;
  • Providing support and advice on data privacy issues to other functions;
  • Collaborate with other members of the global legal team on data privacy governance matters;
  • Keep up to date with legislative changes in data privacy and assessing the impact on the company including taking appropriate steps;
  • Support and implement annual priorities and goals set by the legal team;
  • Providing training to the business on various topics such as compliance, data protection, contracting and review policies and processes etc
Minimum Education:

Graduate (or post graduate) law degree from a recognized educational institution

Minimum Work Experience (years):

10 to 14 years post qualification experience, preferably through in-house experience with a MNC and as a practicing lawyer within an established law firm

Key Skills and Competencies:
  • Prior experience and interest in drafting, reviewing and negotiating commercial contracts which include sales, procurement etc Strong time management skills, detail oriented;
  • Ability to work under pressure with aggressive deadlines, in a dynamic environment;
  • Strong communication skills to effectively work with others;
  • Some experience in the technology sector is preferred \xe2\x80\x93 however not crucial;
  • Self motivated, resilient and adaptable to change;
  • Exercise initiative to solve issues;
  • Ability to manage assigned projects to closure
  • Participates as a team player both within and outside the Legal Department
  • Unquestioned ethics and integrity
