Job Description

• Legal support in the drafting, review and negotiation of contractual arrangements for the business to assist the business in entering into appropriate contractual relationships (frame purchase agreements, distribution agreements, non-disclosure agreements (NDA), quality assurance, agreements, terms and conditions etc.)
• Provide legal advice in the areas of commercial, contract, company, competition, anti-bribery, data protection etc
• Support mergers & acquisitions (M&A) in all legal aspects
• Support joint venture (JV) set up in all legal aspects
• Identifying and escalating - as appropriate - legal risks arising in the course of business to enable the business consciously to determine which risks are acceptable to it and mitigate those risks in line with its risk appetite
• Drafting and publishing legal policies and processes relevant to the wider business to manage risk and provide a framework for legal compliance
• Providing advice and guidance on commercial legal matters to support the business to trade lawfully (including legal support on acquisitions and disposals, restructurings and other strategic initiatives to enable the business to meet its strategic objectives)
• Delivering training on legal issues relevant to the business (including on the policies and processes referred to in 3 above) to highlight awareness of and reduce the risk profile of the business
• Sourcing, instructing and managing external legal advisers to enable the provision of legal advice in areas of specialist knowledge and/or overseas jurisdictions
• Providing advice on and managing company secretarial and governance requirements for the Group\xe2\x80\x99s subsidiaries in the relevant jurisdictions to support the boards of the relevant companies in discharging their duties
