Mohan Management Consultants has been providing Management Consultancy and Corporate Support services in Singapore since 1990. We assist businesses to incorporate and establish themselves in Singapore, by providing a full suite of services like Incorporation services, HR and Immigration services, Secretarial services, Bookkeeping services, Compilation services, Individual and Corporate Tax services, and Business process outsourcing services. Our clients, who are locally based or headquartered in other countries, come from a diverse array of industries, including airlines, logistics, software, media and technology, manufacturing, retail, trading, commodities trading, shipping, FMCG, fund management, investment holding companies & many other sectors.

We also help individuals or small entities to set up their own businesses by providing them with all the back-end support & services, for them to rebrand & cater to the end customer.

ROLE INTRODUCTION

In the role of Nominee Director, we are actively searching for an exceptionally trustworthy individual with a willingness to undertake multiple directorships concurrently. These directorships may be undertaken for the company's clients and/or for the clients of our associate firms. All appointments are subject to rigorous due diligence and assessed through robust, internally developed screening processes.

RESPONSIBILITIES

The responsibilities of the Nominee Director include, but are not limited to:

Facilitating bank visits for account opening and other external tasks. Facilitating the CorpPass setup and related statutory matters required by the local director. Executing SignRequests and physically signing documents.
Except for fulfilling statutory requirements, the Nominee Director shall not participate in the management, finance, or operations of any Client company and shall have no obligation to execute any documents relating to the management or operations of the Client that have not been duly screened and approved by MMC in advance.

The Nominee Director will act as a signatory in the following situations only:

? Incorporation of the Client companies (only if applicable)

? Board Resolutions and any other notices or letters pertaining to resolutions - The Nominee Director will sign the resolutions provided that at least 1 other director of the Client has signed the resolution/s

? Opening of the Corporate Banking Account - The Nominee Director will not act as the authorized signatory for the Corporate Banking Account

? Ministry of Manpower applications

? Share Certificates

? Immigration & Checkpoint Authority (ICA) applications (e.g Business Visa)

All other situations, such as ACRA forms, IRAS letters and other statutory documentation requiring the Nominee Director's signature, will be assessed on a case-by-case basis by MMC.

REQUIREMENTS

? The ideal candidate should be trustworthy, dependable, positive, pleasant, with strong integrity, open-mindedness, and flexibility in work arrangements.

? Solid work experience in any field with a strong track record. Proficient in spoken and written English.

? A bachelor's level of education, along with credible certifications from reputable institutions and accreditations from recognized areas, would be advantageous.

? A fundamental understanding of legal regulations and requirements, basic technical skills for email checking and digital signing, as well as the ability to generate OTPs.

In addition, the candidate

should not be any of the following

;

? Connected to any country which is listed under the US Sanctions list

? Bankrupt

? Convicted of any offense that involves fraud and dishonesty

? Convicted by the court for ACRA filing offense

? Involved with three or more companies that ACRA struck off within five years

? Disqualified for Companies Winding Up on the grounds of National Security or Interest

? Disqualified for Unfit Directors of Insolvent Companies

? Disqualified for default if filing Statutory Returns

My directorships in non-MMC Companies present any conflict of interest with my responsibilities as a nominee director for MMC client companies. Disqualified from the fit and proper criteria required to hold directorship positions under the Companies Act 1967 Disqualified from performing the fiduciary duties as prescribed by the Companies Act 1967

Due to regulatory requirements & MMC's internal policy, only Singapore citizens are eligible to apply for this role.
