Job Description



THE ROLE
The Paralegal will assist the Banking and Finance team in a variety of corporate, finance and capital markets matters and will work closely with the lawyers. THE RESPONSIBLITIES Finance and capital markets transactions:
1. Prepare fee estimates and engagement letters.
2. Assist with conflicts searches.
3. Prepare first draft documents for and assist with new incorporations.
4. Conduct court and company searches and review and summarise results.
5. Obtain certificates of good standing.
6. Prepare first draft of the following documents:
a. board / shareholder resolutions approving a transaction / documents;
b. director certificates;
c. charge registration documents;
d. legal opinions; and
e. security documents.
7. Assist with security registration.
8. Assist with the preparation of signature pages and signing packs.
9. Liaise with clients in relation to transactions.
10. Liaise with service providers in relation to requests for documents and certified true copies.
11. Manage compliance process and proactively liaise with service providers and the internal compliance team from time to time to ensure due diligence documents have been received. THE CANDIDATE

  • To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.
  • The requirements listed below are representative of the knowledge, skill, and/or ability required.
  • Diploma in paralegal studies.
  • A minimum of three years' experience working in a legal environment as a paralegal, legal assistant or company secretary.
  • Excellent writing skills with fluency in both spoken and written English.
  • Work independently and as a team member.
  • Manage a complex and demanding workload and prioritise tasks and projects to meet work standards and personal performance targets.
  • Communicate clearly and effectively legal matters both verbally and in writing, with people at all levels of understanding. This will include high quality correspondence.
  • Working knowledge of computerised systems including the intranet, databases for legal resources etc.
  • Ability and willingness to occasionally work outside normal working hours/days when requested.
