Our strategy is to focus on creating a safe work environment where our employees feel strongly connected to our values and objectives, and where the capability of our people is key to our success.Come and be a part of this success.About the RoleThe Principal Sanctions Counsel will primarily provide legal advice and counsel on trade sanctions, export controls and anti-corruption laws and will secondarily provide legal advice and counsel on other compliance-related issues including providing input into relevant compliance frameworks with a focus on BHP\'s Commercial function, as well as providing compliance-related legal support to other parts of BHP\'s business as needed and as capacity permits.The role reports to the Manager Compliance Legal Commercial and is based in Singapore.Accountabilities with the biggest impact include:

  • Serve as a subject matter expert on U.S., Australian, Canadian, U.K., E.U., U.N., Swiss and other applicable trade controls and economic sanctions laws and regulations.
  • Deliver expert legal advice on trade sanctions, export controls and anti-corruption laws.
  • Provide advice and input on risk assessments and frameworks for compliance with trade sanctions, export controls and anti-corruption laws to ensure that relevant risks are identified and appropriately managed, including for M&A transactions.
  • Support decision making in relation to proposed commercial transactions by engaging with stakeholders, identifying compliance touchpoints, and developing, advising on and assisting with risk mitigation measures.
  • Proactively maintain up to date knowledge of developments in trade controls and other compliance-related risks including enforcement actions, regulatory guidance and public information on attempts to evade trade sanctions and/or other compliance-related laws.
  • Help develop and deliver compliance stakeholder engagement and tailored training to raise awareness of trade controls risks and obligations and support a continuing culture of compliance, particularly within the Commercial function.
  • Draft, review and advise on trade control clauses and other sanctions-related provisions within contracts and transaction documentation.
  • Support compliance due diligence reviews of third parties and counterparties.
  • Assist with continuous monitoring of compliance risks and controls by overseeing and/or contributing to the design of compliance audits on higher risk counterparties and overseeing implementation of audit recommendations.
  • Contribute to quarterly and annual Risk and Audit Committee and Executive Leadership Team reports and group wide, business unit or division projects and initiatives and reports.
  • Manage all aspects of sanctions-related and other compliance-related investigations, including engaging and managing relationships with external counsel and any relevant third parties.
About YouTo be successful in this role, you possess the following:
  • Experience in providing fit-for-purpose advice on high risk and complex transactions with geopolitical elements.
  • Experience delivering effective advice verbally and in written form.
  • Experience working with business stakeholders domestically and internationally, up to and including senior executive level.
  • Experience working with business stakeholders internationally, up to and including senior executive level.
  • Experience delivering advice verbally and in written form.
  • Experience in analysing highly complex transactions, applications of trade controls laws and providing fit-for-purpose advice on high risk and complex transactions.
  • Strategic thinking and critical analysis skills.
Formal requirements include:
  • Law degree (or equivalent) with right to practice in the US, EU, UK, Singapore and/or Australia.
  • Fluent English.
  • Minimum 7 years post admission experience (at international law firm and/or multinational corporation and/or government) with experience advising on compliance with trade sanctions, export controls and anti-corruption laws, investigations and/or enforcement actions.
