Responsibilities

  • Give legal advice and assistance, as directed, with M&A transactions, joint ventures, asset rotation transactions, all in an international context; all the aforementioned following the policies and guidelines of the Group.
  • Coordinate efforts with other internal teams including investments and Investments and M&A, tax, accounting, business development (permitting and regulatory), finance, technical team, HR, among others, as may be requested.
  • Conduct and/or coordinate project M&A due diligences and provide legal support and analysis on project development related issues and assessment on the structure for the M&A transactions.
  • Identify critical project risk issues and/or structure risks of the M&A transaction and communicate those risks to the appropriate members of remaining teams, and also to those members of the legal team. Provide potential strategies or solutions, suggestions or recommendations in order to mitigate those risks identified. Assist to the M&A team in the preparation of the Investment Memos from a legal perspective.
  • Review, draft, and negotiate transaction documents such as asset purchase agreements, share purchase and sale agreements, capital contribution agreements and shareholder agreements in an international context.
  • Review, draft, and negotiate ancillary agreements such as LOIs, non-binding offers and confidentiality agreements, services agreements, assignment agreements, amendments and termination agreements
  • Coordinate and assist to the necessary signing and / or closing of the M&A transactions, ensuring that legal requirements are met in accordance with the applicable law. Coordination to ensure that the terms agreed under the transactional documents are fulfilled by the relevant teams within the organization in due time.
  • Assist and advise from a legal perspective for the entry of EDPR in new markets, providing assistance to the relevant teams involved (incorporation of new companies, summaries of corporate or project development law requirements, etc.).
  • Draft and manage necessary corporate governance work including preparation of resolutions and certificates, powers of attorney, etc. for the purposes of executing the M&A transactions
  • Coordinate efforts with the legal and business teams regarding corporate and project requirements to ensure maximum value and appropriate risk management for EDPR and its shareholders.

Requirements
  • Degree in Law or equivalent
  • At least 7-10 years experience in international law firm, preferably experience in international work, M&A, financing and international contracts.
  • Ability to identify risks and propose alternative strategies in order to mitigate risks.
  • Ability to work successfully in a dynamic team environment.
