This is an exciting opportunity to join the firm as Legal counsel to support internal stakeholders on transactional and corporate legal matters. You will be the trusted advisor to deal teams on legal and structuring topics. You will act as the lender\'s transaction counsel and corporate legal counsel. You will be the Lead Counsel for the lending franchise of the firm covering stock margin financing, pre-IPO financing.

As part of the firm\'s growth in the structured credit space, there are expansion openings for legal counsels within the Regional Credit team. This is an exciting opportunity to join as Legal counsel to support internal stakeholders on transactional and corporate legal matters. Reporting to the Legal Manager, you will be the trusted advisor to deal teams on legal and structuring topics. You will act as the lender\'s transaction counsel and corporate legal counsel.

Description

As the Senior Legal Counsel, you will focus on two main areas:

Lenders\' Transactions

• Act as Lead Counsel for the lending franchise of the firm covering stock margin financing, pre-IPO financing, IPO financing, privatisation financing, leveraged finance (financial sponsors), structured acquisition finance, management buy-out, syndicated structured debt, HoldCo financing, structurally subordinated credits, fund finance/capital call facilities, trade financing and other bespoke specialised financing for UHNW individuals or business founders against private wealth assets.
• Review and draft financing & security documentation, and/or instructing external counsel acting as Lenders counsel on financing and participation in syndicated facility, structurally subordinated credits and holdco financing with complex web of intercreditor issues, and/or cross-border elements and security nets.
• Work with the firm\'s lending principals, and coverage team, providing legal advice, dispensing appropriate opinions and structuring mitigations for transactions; from origination (advisory), transaction execution through to financial close.
• Owner of the firm\'s standard form margin financing template documentation across SG and HK. Continuous review and update of these standard form template agreements, ensuring they are fit for purpose, balanced, promote standardisation and meet firm\'s minimum standards including relevant policies.
• Contribute to Regional Credit projects, initiatives and other cross-regional team projects.

Corporate Matters

• Review, advise, structure and recommend legal solutions to new products and services and solutions, ensuring adequate protections and compliance with firm\'s policies.
• Reviewing external counterparty agreements.
• Liaise and coordinate with company secretary, external solicitors and other third-party advisors on various legal, corporate and/or litigation matters.

Profile

• Singapore qualified lawyer with at least 8PQE in a private practice or in house legal environment with banking, finance or corporate experience, in particular, transactional work in lending transactions, secured loans and other structured debt.
• Good knowledge of both legal and regulatory risk associated with the banking & finance space
• Experience with stock brokerage firms will be an advantage.
