Job Description


Role Responsibilities

  • Provide legal support for Digital Channels and Data Analytics (the "Business") and Project Harmony globally. Project Harmony is the Business led digital acceleration journey for the Bank\'s Corporate, Commercial and Institutional Banking business with the objectives of improving client experience, growing client segments and revenues and lowering costs of delivering the Bank\'s services across our network.
  • Review, advise, structure and approve new (and variations of) products, services and solutions, ensuring adequate protections and compliance with Bank\'s policies and risk appetite.
  • Develop and/or update global template agreements, ensuring they are fit for purpose, balanced, promote standardisation, simplification and meet minimum bank standards including relevant policies; drive projects and global initiatives to update, streamline and simplify legal documentation and approval frameworks.
  • Provide product advisory legal support to Regional/ Country Legal when they are supporting Business in negotiating client or third-party contracts in Region/ Country.
  • Provide legal support for advising on, structuring, drafting and negotiating master services agreements and partnership agreements with third parties for bespoke, complex, multi-jurisdictional multi-products solutions; ensure that the contractual framework with such third parties and clients address end to end product risks; ensure that such contracts are valid and enforceable under the laws of all relevant jurisdictions.
  • Assist Business in identifying and mitigating legal and other risks related to new product launches, initiatives or expansion into a new geography, including having residual risks accepted by Business or relevant function(s).
  • Work with Regional/ Country Legal and other legal teams to monitor the external environment (such as changes in law and regulations, shifting industry or market practices and litigation affecting competitors or market participants) affecting the Business and find ways to reduce legal and other risks for the Business.
  • Provide legal support to Business and ensure that our agreements with counterparties e.g., service providers, alliance partners, together with our internal processes, are robust, including to satisfy regulatory and legal requirements, Bank policies and minimum legal documentation standards, and to discharge or mitigate the performance of our contractual commitments to clients /counterparties.
  • Assist Business in driving efficiency and execution excellence with timely, prioritized and streamlined legal advisory and transactional support.
  • Provide legal support for new product or channel development and business launches, review and approve product, transaction authorisation or other governance documents and ensure that product and channel specific risks, issues/ nuances are clearly identified and appropriately addressed /mitigated through legal documentation or other processes.
  • For global product or channel launches or expansion into new geographies, provide product legal support for Regional /Country Legal to sign off the Country Addenda, transaction authorisation or other governance documents and documentation.
  • Collaborate with Business, Regional/Country or other teams in Legal, Compliance to manage issues involving product related legal/ regulatory/ reputational risks effectively, deliver positive outcomes for issues and reduce regulatory incidents.
  • Represent Legal at various risk and governance, performance and workstream review forums for Business.
  • Develop a strategy and framework for training and delivering training to the Legal team and Business to manage product legal risks, ensure consistency of approach and that minimum bank standards are met in negotiating and agreeing legal documentation with clients/ counterparties.
  • Provide legal support for various key digitisation initiatives within Transaction Banking, including Cash and Trade Business, globally.
  • Establish effective working relationships with business, risk and control and governance functions, and within Legal, to assess and manage legal risks and issues.
Strategy
  • Develop a strategy and framework for training and deliver training to the Legal team and businesses to manage product legal risks, ensure consistency of approach and that minimum bank standards are met in negotiating and agreeing legal documentation with clients/ counterparties.
Processes
  • Responsible for enforceability of legal agreements.
Risk Management
  • Act as Risk Framework Owner for legal enforceability risks of contracts related to the Business.
  • Responsible for ensuring that legal enforceability and non-legal enforceability risks (such as ICS, data privacy, operational resilience, regulatory) are managed as per the relevant risk and control frameworks, policies and standards.
  • Assist in identifying, assessing and mitigating risks (including non-legal enforceability risk types such as ICS, data privacy, regulatory, operational resilience, responsible AI, intellectual property, technology and performance related risks) through suitable contractual terms with clients and third parties.
  • Assist in identifying, assessing and mitigating risks (including non-legal enforceability risk types such as ICS, data privacy, operational resilience, responsible AI, intellectual property, technology and performance related risks) associated with the roll-out of digital channels, solutions and other initiatives globally.
  • Assist in identifying, assessing and mitigating risks including regulatory, reputational and legal liability risks in cases of potential regulatory incidents.
Governance
  • Awareness and understanding of the governance and regulatory framework, in which the Group operates, and the regulatory requirements and expectations relevant to the role.
  • Provide effective oversight, advice and challenge on the formulation and implementation of risk and control frameworks, policies and standards for the Business.
  • Provide effective oversight, advice and challenge at various risk governance and product refinement fora.
  • Advise Business and other stakeholders on the contractual requirements with clients and third parties consistent with the relevant risk and control frameworks, policies and standards.
Regulatory & Business Conduct
  • Display exemplary conduct and live by the Group\'s Values and Code of Conduct.

Our Ideal Candidate
  • Educational background to degree level.
  • Qualified Lawyer in a common law jurisdiction with overall 5+ years of experience post qualification.
  • Legal experience in technology, data security and privacy matters, in relation to e-channels, e-platforms and e-Commerce services.
  • Understanding of the key features of relevant laws and regulations applicable to the Business is an advantage.
  • Analytical and innovative legal skills.
  • Negotiating and drafting skills.

Role Specific Technical Competencies
  • Qualified Lawyer in a common law jurisdiction with overall 5+ years of experience post qualification.
  • 3+ Years of relevant experience in Legal with respect to technology, data security and privacy matters, in particular in relation to e-channels, e-platforms and e-commerce services.
  • Personal authority and integrity.
  • Understanding of the key features of relevant laws and regulations applicable to the Business.
  • Analytical and innovative legal skills.
