The Contracts, Patents & Compliance officer is required to assist the Deputy Director (Contract, Grant and Patent Management) in overseeing the Contracts Management, Patent Administration and Compliance work and in particular to provide agreement, documentation and compliance support to the NUS Innovation and Enterprise programmes in the furtherance of the University\'s innovation and enterprise activities.
Duties and Responsibilities
Draft, review, negotiate and finalise contracts related to research and intellectual property for the University (e.g., license agreements, option agreements, technology development agreements, materials transfer agreements, and non-disclosure agreements) in the interests of the University and in compliance with the University\'s policies
Work closely with NUS research community and administration/finance offices to process and complete documentation relating to such contracts
Provide advice on intellectual property and patent prosecution matters to technology managers
Provide advice on compliance matters in relation to financial-related terms in agreements and patent cost recovery and the distribution of commercialisation revenue
Responsible for reviewing agreements and other documents relating to the NUS Innovation and Enterprise programmes and subsidiaries.
Reviewing and implementing systems and procedures to streamline the processes, documentation and compliance in relation to investment-related agreements with NUS Innovation and Enterprise programmes
Supporting operational due diligence and liaising as necessary with NUS Board Secretariat for the subsidiaries.
Working with outside counsel and the Programmes/ Venture Managers to address legal and compliance issues in relation to agreements,
Overseeing the panel of outside counsel for legal advice on agreements.
Qualifications
At least a good degree in Biology / Chemistry / Biomedical Engineering or other scientific discipline and/or a Law degree (or related disciplines)
At least 10 years of working experience and demonstrated relevant experience in contracts management and negotiation role
Working experience / familiarity with intellectual property matters and the patent prosecution process
Working experience / familiarity with government research grants and/or local universities\' research space
Working experience / familiarity with early-stage startup investments, corporate secretarial work and/or related fields would be advantageous
Strong corporate and commercial experience with interest in or exposure to investment-related work; experience in investor-side review and negotiation of investment fund agreements, and familiarity with compliance issues associated with investment-related activities would be advantageous
Ability to deal with legal and non-legal issues holistically and with a sound level of maturity
Strong analytical and communication skills (both verbal and written)
Ability to work independently as well as collaboratively in a team environment with internal and external contacts at all levels
Able to prioritise workload and meet strict deadlines
