We are looking for a Senior Manager to support us in general corporate and commercial matters, with a focus on projects relating to fund-raising as well as mergers & acquisitions. You will collaborate with various business unit stakeholders, providing them with legal support through various transactions and projects, as well as contract review and management of legal risks.
You will report to the Group General Counsel, alongside a team of 2 more lawyers.
Key Responsibilities:
- Draft, review, and negotiate a broad range of commercial agreements, including HMO and TPA-related documents.
- Partner with our business teams, taking an active role in (where required) drafting, negotiating, and completing transactions, both in Singapore and across the region, namely in the Philippines, Indonesia, Malaysia, Vietnam, and China.
- Develop policies and related documents and manage regulatory and compliance matters in connection with the healthcare industry.
- Draft, review, and negotiate a broad range of commercial agreements, including HMO and TPA-related documents.
- Advise on legal aspects of the Group\xe2\x80\x99s financing, legal and business structures, and entities.
- Oversee document management systems and draft template agreements which may be used within the Group.
- Liaise and consult with external counsel on a cost-effective basis.
- Carry out any other duties and responsibilities assigned by the Company from time to time.
Key Skills and Qualifications:
- Bachelor\xe2\x80\x99s Degree in Law (LLB) with 7-10 years PQE in a reputable law firm or an in-house role.
- A strong corporate and commercial background with experience in handling M&A transactions.
- Experience in the healthcare industry will be preferred.
- Initiative and self-motivated individual who can work independently.
- Fluency in Mandarin (to communicate with chinese speaking business partners) and a working knowledge of PRC corporate laws will be an advantage.
