Corporate Governance

  • Manage and review corporate governance policies and controls to ensure adherence to regulatory requirements, and cater to the organization's business areas
  • Ensure compliance with all statutory requirements such as filing of resolutions, filing of annual returns with ACRA, and business interests of the organisations are protected.
  • Provide advice and support on risk-related policy matters and processes, as well as charity governance matters, including matters relating to the Charities Code of Governance.
Board Governance and Board Relations
  • Perform centralised corporate secretarial duties and administrative support for to the Gallery's Board and Board Committee meetings, including meetings including preparation of agendas, resolutions, meeting logistics etc, and take accurate official written records of meetings.
  • Set standards and put in place processes for implementation across all secretariat teams.
  • Oversee secretarial duties and administrative support for the Gallery's Board and Board Committee meetings and senior management meetings as part of Board work process.
  • Oversee Board renewals, onboarding programme for new Board members and maintain due diligence documentation on new and existing board of directors
  • Provide practical support to Board of Directors and senior management as needed and share timely information with all the directors during board
  • Organise and coordinate all Board related events and visits.
Support
  • Support the Deputy Director (Planning & Research) in advising the department on policy, process, and terms of reference amendments for each Board committee, and managing all internal and external governance records
  • Maintain governance excellence and accreditation by researching and developing innovative approaches for quality improvement in governance practices, based on the Charities Code.
  • Assist in producing documentation to support implementation of governance related policies and procedures
  • Assists with any other duties as assigned
Qualifications:
  • Bachelor's degree in Business Administration, Arts Management, Humanities, Social Sciences, or related. Prior experience working in a non-profit/charity sector is a plus.
  • Minimum 3-years' experience in corporate secretarial support to management and in board governance, background with charities is a plus.
  • Possession of relevant company secretarial qualification to act as a Company Secretary is an added advantage.
  • Keen interest in arts and culture sector.
  • Ability to stay focused, organized, and prioritize work based on importance and urgency. A strong sense of urgency is required in meeting Board deadlines.
  • Proven ability to work under pressure and meet deadlines in a highly challenging environment, working within a small team.
  • Strong communication, interpersonal, and relationship-building skills.
  • Excellent follow-up and problem-solving skills with ability to make intuitive decisions.
  • Supportive of and able to demonstrate agile and flexible working, and maintains a high level of urgency, confidentiality, and discretion.
  • Precision, accuracy, and high attention to detail in all aspects of work, including ensuring documents, and presentations are error free.
  • Excellent written and verbal communication skills with ability to type proficiently with speed and precision. Previous meeting minute taking is desirable. Strong written communication skills and ability to draft correspondence and other documentation.
  • Ability to work effectively independently as well as with a team.
  • Good working knowledge of Microsoft Office Suite, proficiency in working with video conferencing tools to enable hybrid meeting formats, and working with web-based solutions like Diligent in uploading of Board materials.
