The Sr Counsel I role will support legal and business conduct compliance for the development and commercialization of Gilead\xe2\x80\x99s Oncology portfolio in Hong Kong, Singapore, Taiwan, and South Korea. This role will be based in Singapore and will report into the Director of Legal and Business Conduct for Hong Kong, Singapore and Malaysia.

The Sr Counsel I will:

  • provide sound and strategic legal advice \xe2\x80\x93 identifying legal and compliance risks and mitigation,
  • collaborate cross-functionally as a trusted, solution-oriented legal advisor,
  • proactively provide day to day business support on a wide variety of matters,
  • draft and negotiate complex transactions, and
  • oversee the work of outside counsel when needed.


Essential Duties and Job Functions (include but are not limited to):

Business Counseling
  • Provide holistic legal counsel and guidance on a wide variety of day-to-day matters in the Oncology business, as well as product launches and other strategic initiatives.
  • Provide proactive counsel regarding relevant laws, regulations and enforcement trends including those related to anti-corruption, antitrust and the relevant industry codes.
  • Research unique legal issues impacting the organization and its business by identifying applicable statutes, judicial decisions, and codes; anticipating changes to the law, regulations and/or application to the Oncology business.
  • Engage and collaborate with Gilead\xe2\x80\x99s various legal expert teams, including Competition Law, Intellectual Property, Anti-Bribery/Anti-Corruption, Employment, Litigation and Investigation, Privacy, Regulatory, etc., to ensure comprehensive legal counsel to the business.
  • Collaborate with other attorneys within Gilead globally to leverage the collective knowledge, calibrate across the organization and ensure sharing of knowledge.
  • Provide trainings on substantive legal and compliance topics.
  • Take on additional work and assignments when needed.


Transactions
  • Draft and negotiate a wide range of legal documents typical of a biotech or pharmaceutical organization, including master service agreements and work orders, professional services agreements, supply agreements, materials transfer agreements, confidentiality agreements, research collaborations with other corporations and with academic institutions, agreements with governmental entities, and other general business contracts.
  • Advise clients on contract interpretation, dispute resolution, and vendor management.
  • Train and advise the clients as needed on the preparation, negotiation and execution of form-based documents, including statements of work.
  • Develop tools, trainings and streamlined processes to help the business manage large volumes of matters.


Basic Qualifications
  • Juris Doctorate or fully qualified legal credentials from a reputable law school.
  • Fully admitted to practice applicable laws in one or more of the country or jurisdictions of responsibility.
  • 6+ years of in-house or law firm experiences in or relating to biotech or pharmaceutical industries, including business operations and regulatory framework.
  • Detailed knowledge of the Foreign Corrupt Practices Act and other relevant anti-bribery laws, guidance on patient-focused drug development activities, patient support service and other government regulation of pharmaceutical products OR similar laws internationally is required.
  • Prior experience with or exposure to standard regulatory processes for pharmaceutical products and laws, and regulations governing clinical trials preferred. Prior experience with biotech oncology business (including product launch) strongly preferred.
  • Prior experience in drafting and negotiating a wide variety of business agreements (master service agreements, materials transfer agreements, license agreements, manufacturing and supply agreements, purchase agreements, confidentiality agreements, clinical trial agreements, and other general business contracts) preferred.
