The Role Responsibilities
Trade Distribution (TD) leads the distribution of Trade Products to investors and insurers. TD comprises 3 different businesses - Trade Asset Sales and Syndications (TASS) ie. banks and funds, Programmes and Insurance. Given the varied nature of the 3 businesses, the approach for IBOR with respect to investor/insurer management, pricing negotiation and document remediation (FI vs Corporate, standard vs bespoke, product-wise) varies across each business.
Accordingly, Trade Distribution (TD) is looking for a candidate who will manage the TD IBOR transition plan across all different workstreams in TD, closely tracking and managing fulfilment of contractual obligations to investors while co-ordinating with multiple internal and external stakeholders on alignment of distribution negotiations and documentation remediation for IBOR.
The responsibilities of the resource include to:
  • Manage the document remediation process for Standard MRPAs:
  • Review each of the MRPAs and categorise them based on the 14 template types. Liaise with TASS and prepare checklists for each MRPA (extract contact info, entities from mails, investor details, template type, default interest)
  • Sort out any bespoke/ negotiated agreements for S&S review and amendment.
  • Co-ordinate with external legal (S&S) and TD Legal on the availability of template types.
  • Once amendment is produced, review changes ahead of sharing the amendments with investor.
  • Handle first level of negotiations - where needed liaise with TASS and TD legal on the changes needed.
  • Keep track of entity accessions - ensure TD Ops issue amendment with O&A accession for subsequent offers with other entities. Co-ordinate with S&S on the language for O&A.
  • Manage Corporate and bespoke document remediation across multiple products and TD workstreams:
  • Co-ordinate timing of investor doc remediation with origination/ SSD/ VMT depending on the product, TD IBOR workstreams - TASS, Programme and Insurance, TD Legal and IBOR team. Escalate where origination/ VMT timelines differ or impact TD remediations.
  • Ensure feedback from the origination and VMT teams are taken into consideration for alignment on pricing and amendments on origination docs; ensure there is an ongoing feedback loop on underlying facility remediations
  • Track investor feedback and follow-up on required actions by relevant stakeholders. Where required, co-ordinate with external/ TD Legal teams, TD workstreams, entities/ investors on changes to the amendments or consent where required and ensure timely execution
  • Liaise with TD Operations, MO to implement changes to payables based on revised pricing.
  • Where multi-entity and multi-investor executions are needed, such as in the case of bespoke deals, VPP/RS/BBTL deals, confirming bank agreements, closely manage the execution plan with TD stakeholders (remediation vs notification or investor consent), ensuring alignment across multiple SCB entities, IBOR legal, external legal, investors and origination/ SSD/ VMT.
  • Support the IBOR transition plan across TD workstreams
  • Based on the approach for each workstream, co-ordinate on agreed activities - track completion of Insurance comms and consent where required, review completion of Programme amendments, Confirming Bank corporate/ bespoke executions and MRPA executions
  • Track remediation execution and transition plan across all streams. Set up processes for closely monitoring and tracking the remediation process
  • Provide feedback on execution status to IBOR, TASS, TD Legal and other stakeholders
  • Iron out process issues for smooth operational execution on FRPs, investor payables, reporting for Programmes and Insurers, as required.
  • Be the single point of contact for external legal, internal teams and any other stakeholders for any negotiations requested by investors
  • Co-ordinate on amendment draft availability and handle initial negotiations with investors, where needed liaising with external legal, TASS and TD legal on the changes needed
  • Track queries from investors are addressed. Track completion of negotiations and amendments across workstreams.
  • Manage administration and physical execution of documentation
  • Obtain relevant signatures from Nicolas/ others as needed.
  • Follow ICS requirements on sending physicals and electronic contracting framework for digital execution.
  • Tracking, scanning and storage of received documents
  • Proper cataloguing for digitally executed docs and storage of physicals with CRC
Our Ideal Candidate
  • 3+ years of Experience
  • Knowledge of the Trade finance and Trade risk distribution business would be advantageous
  • Strong programme and project management skills with effective co-ordination, follow-up and time management skills
  • Good business judgment and strong in operational control and risk assessment.
  • Strong interpersonal skills with ability to influence stakeholders and co-ordinate across business
  • Effective communication skills: Well-developed written and spoken communication skills
  • Teamwork: ability to work in a cross-cultural team and maximize the team effort.
