Job Description


Providing comprehensive support to all entities, primarily focusing on Southeast Asia (SEA) and collaborating with the India Co Sec team. Responsibilities include managing minutes of directors, shareholders, and committee meetings, drafting ad hoc resolutions, ensuring compliance with regulatory requirements, advising stakeholders on fiduciary and governance responsibilities, leading entity-related processes like incorporation and dissolution, maintaining accurate company documents, supervising junior team members, coordinating with external partners, facilitating document circulation and signature collection, and occasional travel may be necessary.

  • Managing entity compliance and regulatory requirements for all the company\'s entities in various countries, ensuring adherence to shareholders\' agreements and internal governance processes.
  • Provide assistance and guidance to shareholders, directors, and committee members on fiduciary and governance responsibilities, as well as facilitate company transactions and corporate restructuring.
  • Oversee entity incorporation, dissolution, and liquidation, and maintain accurate company documents and corporate structure records.
  • Manages junior members, liaises with external law firms and service providers, and assists in document circulation and signature collection.
  • Occasional travel may be required for these responsibilities.
Experience Requirements :
  • Hold a degree in Law and/or be a member of ICSA (Institute of Chartered Secretaries and Administrators).
  • Around 8 years of relevant professional experience in a regional in-house capacity.
  • Familiarity with compliance and statutory requirements in Southeast Asian (SEA) countries is a plus.
  • Strong communication skills, both written and verbal, with the ability to effectively convey information to diverse functional teams within the organization.
