About the role

Part A: Key Deliverables / About the role

Qualified Legal Counsel to oversee the legal aspects for a group of businesses. You will safeguard our reputation by guaranteeing that the company strictly follows law guidelines and give legal advice to the board/Corporate management about all relevant issues.

The successful candidate will effectively ensure legal conformity and minimize probability of exposure. understand the pressure points, strategy and objectives of the business and effectively communicate the risks and legal issues involved in any decision to management/the board, enables management to make informed strategic choices within an acceptable legal risk profile.

Part B: Responsibilities and Duties

  • Provide accurate and timely counsel to corporate management team in a variety of legal related matters
  • Collaborating with management to devise efficient defence strategies, apply effective risk management techniques and offer proactive advises on possible legal issues and evaluate different risk factors.
Specifying internal governance policies and regularly monitor compliance. * Review / provide accurate and timely counsel to the legal team (Executives/Administrators) in a variety of legal related issues such as copyrights, patent, labour law, partnerships, international ventures, corporate finance, tenancy agreement/contracting, confidentiality agreements etc.
  • Draft all transactional documents associated with dispositions and financing.
  • Review, communicate and negotiate with external parties (notary, regulators, external counsel, public authority etc.), creating relations of trust, patent, copyrights, trademarks and its related.
  • Draft and solidify agreements, contracts and other legal documents to ensure the companys full legal rights
  • Provide clarification on legal language or specifications to the board, HODs, management internally
  • Collaborate with Operations, Finance, HR Marketing departments and Professional Development to assure legal adherence for all transaction relating to legal rights including special projects.
  • Collaborate with external counsel to defend organizations rights in contract settlements, negotiations and litigation related matters for the group of businesses
  • Perform cross-functionally / organization to manage different projects and execution of new initiatives.
  • Work closely with HODs / cross function teams such as R&D on trademark/patents related.
  • Identify risks along with propose alternative structures to reduce risks involved in prospective transactions.
  • Resolves legal matters including managing disputes with third party, litigation and government enforcement actions
  • Oversee IP Portfolio for Trademarks, Patents & IP enforcement for various countries
Part C: Qualifications & Requirements (Education, Experience, Skills, Knowledge, Etc)
  • Completed a Bachelor of Law (LLB) undergraduate degree or a Juris Doctor (JD) postgraduate degree. Complete Practical Legal Training (PLT) with combined 5-6 years of education and training.
  • A strong preference for candidates with tobacco or tobacco-related industry exposure
  • Adaptable and a versatile mindset, comfortable working in stressful and fast-paced environment
  • Incumbent to be commercially savvy as legal matters often involve multiple stakeholders, different legal issues and, more importantly, often a subset of the business function in an organisation.
  • Preferably proven experience / records as a legal counsel in business environment
Part D: Specific Requirements (Mandatory for the role)
  • Excellent knowledge and understanding of corporate law and procedures
  • Strong knowledge and ability to draft patents, copyrights, trademarks with experience in IP management
  • Sound knowledge in regulatory affairs for commercial products within a related space on a regional and/or global context
  • Demonstrated ability / past experiences / cases in create legal defensive or proactive strategies
  • High degree of professional ethics and integrity with an analytical mind
  • Possess logical reasoning and critical thinking
