Business: Legal Position: Legal Counsel Wholesale Bank (Asia Pacific)

ROLE PROFILE

• Transactional counsel role supporting Lending, Transaction Services, Diversified Corporates and Sectors in Asia Pacific, but based in Singapore.

• Regional exposure supporting transactions generated by the Bank’s branches and affiliates in Asia Pacific (including Shanghai, Hong Kong, Taipei, Seoul, Tokyo, Singapore, Manila, Jakarta, Sydney).

• Good exposure to different sectorial financing on a regional basis, including trade and commodities, transport and logistics, energy, leveraged acquisition, financial institutions, real estate, telecommunication and media, factoring etc.

• Regulatory support for the Bank in meeting local regulatory requirements.

• Advisory support for the Bank in terms of employment matters, procurement matters and ad hoc legal issues that arise.

• General advisory, drafting and review work to support the Bank’s Lending, Transaction Services, Diversified Corporates and Sectors business in Asia Pacific. Including but not limited to drafting and review of terms sheets and transaction documents; analysis of laws and regulations of relevant jurisdictions e.g. in respect of security taking and insolvency.

• Working closely with front of office colleagues as well as Risk, Compliance and Operations colleagues to support the Lending, Transaction Services, Diversified Corporates and Sectors business. This includes collaborating with such colleagues to innovate and streamline documentation process for efficiency and client centricity.

• Advising on local, regional and global legal & regulatory developments affecting the Lending, Transaction Services, Diversified Corporates and Sectors business.

• Instructing and liaising with the Bank’s external lawyers for transactions.

• Liaising and interacting with the Bank’s other Legal teams (located in Europe and Americas) on policy, documentation and transactional matters.

• Participating in global practice groups to share and develop legal best practices for various sub-disciplines of Lending, Transaction Services, Diversified Corporates and Sectors legal work.

• Supporting senior team lawyers in keeping updated on regulatory developments and working with Compliance, Operational Risk and other functions to ensure that the Bank is compliant with regulations.

• Supporting senior team lawyers in advising the Bank in project implementation, looking into regulatory impact of new initiatives.

• Experience with supporting financing transactions, preferably cross border financings (at least 3 years’ experience).

• Experience in supporting commercial banking activities, with exposure to some of sector financing as indicated above.

• Sound common law grounding in banking law, law relating to security taking, and insolvency law; some familiarity with the equivalent concepts in other legal regimes will be preferred.

• Ability to drive initiatives and engage with stakeholders.

• Ability to analyze and spot key risks/issues whether in transactional support or regulatory support role.

(B) Pre-requisites

• Law degree with a common law background.

• Admission to a Commonwealth law jurisdiction preferred.

• Banking inhouse experience will be preferred.

• 4-5 years Post Qualification Experience

• Working proficiency in written and spoken Chinese will be a bonus.
