We are looking for a Legal Counsel with general corporate and commercial experience to help support our operations across Asia Pacific; the location of this role is in Singapore. You will be an integral member of the legal team advising the business on its activities including identifying and managing legal risks, advising the business and managing project and regulatory issues in order to help guide Aquila Capital to success in an effective and compliant manner. Key Responsibilities
Draft, review and negotiate a range of commercial contracts for operational and day-to-day business requirements as well as project related requirements such as consultancy agreements and non-disclosure agreements
Manage corporate governance matters, including drafting and reviewing resolutions, corporate finance and intercompany documentation
Ensure compliance with applicable laws on corporate secretarial matters and assist with the organisation of corporate secretarial documents and other contracts on digital platforms
Advise on legal risks, while maintaining a pragmatic and commercial approach
Support the broader APAC Legal team with preparation of legal training materials, templates and legal research
Effectively work with external counsel and corporate secretaries when necessary and appropriate, and liaise/cooperate with internal stakeholders
Take responsibility for managing record keeping and internal databases and assist with contract management including the organisation of (electronic) filing of contracts, arranging for the execution of documents
Assist with ad hoc legal, governance and compliance projects, including with respect to efficient legal processes and operations.
Your Qualifications and Experience
A degree in law from a top-ranked, reputable university
Singapore qualified lawyer with at least 3 years of post-qualification experience
Training and experience working in an internationally recognised law firm and industry experience in legal practice preferably working as an in-house counsel at a recognised multi-national corporation
Highest standards of professional ethics, integrity and judgment
Excellent communication (written and verbal) and interpersonal skills, with cross-cultural experience
Excellent teamwork skills and ability to partner with business and technical colleagues, external counsel and staff
Proven ability to collaborate cross-functionally and to engage effectively with all levels of staff and management
Ability to work independently as well as in a team
Highly organised, detail oriented, efficient, resourceful with strong follow-through and passion to "make things happen"
