YOUR contribution
Context The Global Energy Management & Sales (GEMS) business unit is the fully integrated trading arm of the ENGIE Group. GEMS teams manage a large and highly diversified energy portfolio, including electricity, natural gas, biomass, LNG and other fuels, CO2 and environmental products, and provide a range of trading risk management solutions to all types of market participants in Europe, Asia and in the US. GEMS manages the B2B supply business within ENGIE, including supply contracts and Power Purchase Agreements. Within the GEMS Business Unit, the Singapore-based Business Platform APAC and the Business Platform Australia is managing and developing the group\xe2\x80\x99s trading activities for these regions around 4 main pillars: risk management and market access, asset management, green solutions and energy supply businesses.
Role The BP APAC Legal Team is responsible for providing legal support to the Business Platform APAC business and managing legal and regulatory risk in compliance with applicable laws and the Engie Group\xe2\x80\x99s internal policies and procedures. The Team is also a key participant in the implementation of this business platform\xe2\x80\x99s business development plan. The team supports the initial development of the activities in Australia. We are now looking for a senior lawyer to join the Business Platform APAC Legal team, consisting of three lawyers (including the manager) and a paralegal. The main areas of focus are supporting the development of new businesses and related infrastructure, in particular in respect of the newly-established green products desk (carbon offset, green PPAs), legal onboarding including ISDA Master Agreement negotiation, derivatives transaction support, monitoring and adapting to APAC regulatory developments, and regulatory compliance support. Key missions The successful candidate will be required to:
Develop and execute comprehensive legal strategies and solutions to facilitate the commercial objectives of the Business Platform APAC identifying and mitigating any transactional, regulatory and related risks and issues
Work closely with front officers to contribute to business objectives through providing first class legal and regulatory advice relevant for the company\xe2\x80\x99s business
Exercise sound professional judgment in identifying issues that need reference to management and/or colleagues legal experts within the business unit or the group
Advise on legal and related issues as they arise in day-to-day trading/marketing activities, e.g. : transaction support including legal onboarding, drafting, reviewing, advising on and negotiating bespoke, single trade and master agreements on various energy commodities and their derivatives (i.e. green PPAs, gas, carbon offset agreements , guarantees of origin, verified emission reduction, financial derivatives,), contracts with trading related market participants such as brokers and trading platforms
Conduct regulatory and other due diligence, review and advise on credit support, legal opinions and other conditions precedent relevant for the company\xe2\x80\x99s contracts and services
Provide legal support in relation to event driven issues such as events of default, covenant breaches, waivers, trustee, inter-creditor issues, acceleration, and enforcement, reservation of rights while considering and advising on the impact on the company\xe2\x80\x99s financial position
Maintain a deep understanding of APAC legal and regulatory frameworks, monitor compliance with applicable laws and internal policies, provide training on topical issues to GEMS colleagues and attend industry forums and round-tables
Develop practice notes and assist with policy and guidelines formulation
Advise on and execute the implementation of the reforms of commercial, financial or energy market regulation in the company\xe2\x80\x99s products and services
Perform corporate secretarial work for the Singapore legal entity
Deal frequently with other internal stakeholders in APAC, in the business unit and in the group
Effectively manage external counsel

Qualified as a lawyer in a relevant jurisdiction with significant PQE experience in commodities trading, energy contracts and/or financial services, including substantial transactional experience with top-tier law firm, financial services provider and/or leading commodities firm. Qualification in Singapore is a plus, but another common law jurisdiction can also be considered
Languages
Fluent English essential. Mandarin and/or other Asian languages a plus
