About the role
We are looking for a Corporate Counsel , Commercial to provide the highest standard of legal services in respect of Rio Tinto\xe2\x80\x99s commercial activities across all levels of the business. This role is part of the Rio Tinto Legal team and has dual responsibility for providing support to the human resources function in our Singapore hub and running the corporate secretariat in respect of our Singapore entities.
This role is a great opportunity to work closely with our commercial team, and drive value addition to the business. Working within the Commercial Legal team, you will:
Employment / HR
Act as legal counsel to our Singapore human resource function:

• Drafting, reviewing, and approving a range of contracts, internal policies, and other legal documents.
• Interpretating employment contracts and laws, providing strategic/tactical advice following investigations and assisting with follow-up action including termination/mutual separation, drafting bespoke employment documentation (including non-compete arrangements, separation agreements), vetting of draft scripts and communications with employees.
• Managing litigation and external counsel.

Corporate secretarial
Bear primary responsibility for the running of the Singapore corporate secretarial function, including:

• Scheduling and running board meetings \xe2\x80\x93 drawing up meeting agendas and minutes, circulating board papers.
• Providing ad hoc legal advice to board members.
• Attending to and putting in effect changes to the composition of the board.
• Working with internal stakeholders and external service providers to complete statutory filing matters and lodgment of annual return within prescribed deadlines.
• Managing the winding-up of dormant entities.

General

• Providing timely, accurate, independent, and commercially pragmatic legal advice to Rio Tinto whilst managing legal and commercial risks.
• Analysing legal risks including confidentiality, legal compliance, business integrity and reputational aspects.
• Maintaining awareness of all material internal business developments which are likely to lead to a need for legal advice.
• Driving a culture of commercial entrepreneurialism whilst balancing risk for the business.
• Managing legal engagement with vendors and suppliers, including resolution of disputes.
• Reviewing and developing precedent documents.
• Liaising with other members of Rio Tinto Legal and members of Rio Tinto\xe2\x80\x99s commercial operations to promote and apply best legal practice.
• Monitoring the compliance framework that will enable Rio Tinto to meet its statutory and corporate requirements.

About you
To be successfully considered for this role, you will be a Singapore-qualified lawyer and have:

• 8 to 10 years of post-qualification experience within a corporation or law firm.
• Experience in dealing with all types of Singapore-law governed employment matters (including disputes), especially those involving managers and executives.
• Strong corporate law experience and familiarity with the Singapore Companies Act.
• Strong leadership, communication, and time management skills.
• The ability to develop strong commercial relationships with internal and external stakeholders.
• Demonstrated leadership skills, as well as the capacity for strategic decision making and managing portfolios independently.

It will also be beneficial if you have:

• Experience in drafting resolutions and advising on company constitutions.
• Have knowledge about the global mining and metals industry.

Rio Tinto Legal is responsible for providing legal services to the highest standard to the Rio Tinto Group, including corporate headquarters, operating business units and service divisions. It also provides policy development and advice in legal matters which are within its core competencies.
